Terms of Service
These Terms of Service (“Terms,” “Agreement,” or “Terms of Service”) govern your access to and use of the Helix Health and Wellness website, telehealth services, online platforms, patient portals, products, and related services (collectively, the “Services”) provided by Helix Health and Wellness (“Helix,” “we,” “us,” or “our”).
By accessing our website, creating an account, submitting a medical intake, scheduling an appointment, purchasing a service, or using any portion of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you do not agree to these Terms, you should not use the Services.
These Terms should be read together with our Privacy Policy, Telehealth Consent, Notice of Privacy Practices, and any other policies or disclosures presented to you in connection with our Services.
1. Description of Services
Helix Health and Wellness provides healthcare-related services through telehealth and other remote technologies.
Depending on the services offered, the Services may include:
- Online medical intake
- Telehealth consultations
- Asynchronous medical evaluations
- Video or audio consultations
- Patient messaging
- Healthcare education
- Treatment planning
- Medication evaluation
- Prescription-related services
- Follow-up care
- Coordination with pharmacies
- Other healthcare services provided by appropriately licensed healthcare professionals
The availability of specific services may vary based on your location, medical history, eligibility, clinical circumstances, applicable law, and provider availability.
Not every patient will qualify for every service or treatment.
2. Provider-Patient Relationship
Use of the website alone does not create a healthcare provider-patient relationship.
A provider-patient relationship may be established only when an appropriately licensed healthcare professional evaluates you and agrees to provide healthcare services to you, subject to applicable law and the provider’s professional judgment.
Submitting an online questionnaire, purchasing a service, or paying a fee does not guarantee that:
- A healthcare provider will establish a provider-patient relationship;
- You will receive a diagnosis;
- You will receive a prescription;
- You will receive a particular medication;
- You will receive a particular treatment;
- You will be accepted as a patient; or
- A particular medical outcome will occur.
Healthcare professionals retain independent clinical judgment regarding diagnosis, treatment, prescriptions, and medical care.
3. Telehealth Services
Telehealth uses electronic communications technology to provide healthcare services remotely.
Depending on the service, telehealth may involve:
- Online questionnaires
- Secure messaging
- Video conferencing
- Audio communications
- Electronic transmission of medical information
- Patient portals
- Other electronic communications technologies
Telehealth services may involve risks, including technical interruptions, connectivity failures, privacy risks, delays in communication, and limitations associated with evaluating a patient remotely.
You acknowledge these risks as part of your use of the Services.
Where required, you must provide informed consent before receiving telehealth services. Telehealth informed-consent requirements can vary by state, and healthcare providers should explain the nature of the telehealth service, patient rights, and relevant risks.
4. Your Location
You are responsible for providing accurate information regarding your physical location when receiving telehealth services.
Healthcare professionals may only provide telehealth services to patients located in jurisdictions where they are legally authorized to do so.
If you travel to another state or jurisdiction, you should notify Helix before receiving telehealth services.
Availability of services, providers, medications, and treatments may vary by state or jurisdiction.
5. Eligibility
You represent that:
- You are legally capable of entering into this Agreement;
- The information you provide to Helix is accurate and complete;
- You will provide truthful and current medical information;
- You will not impersonate another person;
- You will not provide false information to obtain medical services or medications; and
- You will comply with all applicable laws when using the Services.
If you are accessing the Services on behalf of another person, you represent that you are legally authorized to do so.
6. Medical Information and Patient Responsibilities
You are responsible for providing complete and accurate information regarding your health.
You should disclose information that may be relevant to your care, including, when applicable:
- Current medications
- Allergies
- Medical conditions
- Previous diagnoses
- Previous surgeries
- Relevant family history
- Pregnancy or potential pregnancy
- Substance use
- Previous treatment
- Relevant laboratory results
- Adverse reactions
- Other information requested by your healthcare provider
Failure to provide accurate or complete information may affect the safety and appropriateness of your treatment.
You agree not to intentionally conceal relevant medical information.
7. Clinical Judgment
All medical decisions are made by appropriately licensed healthcare professionals based on the information available to them and applicable standards of care.
Helix does not guarantee that a provider will prescribe or recommend any specific medication, treatment, supplement, or therapy.
A provider may determine that:
- Telehealth is inappropriate;
- Additional information is required;
- An in-person examination is necessary;
- Laboratory testing is required;
- A particular medication is inappropriate;
- A requested medication is contraindicated;
- You do not qualify for a particular service; or
- You should seek care from another healthcare professional.
Providers are not required to prescribe medication merely because a patient requests it.
8. Prescription Medications
Where prescription services are offered, prescriptions are issued only when determined to be medically appropriate by a licensed healthcare professional.
A prescription is never guaranteed.
Helix does not guarantee:
- That a prescription will be issued;
- That a particular medication will be prescribed;
- That a pharmacy will fill a prescription;
- That a medication will be available;
- That an insurance plan will cover a medication; or
- That a medication will produce a particular result.
Medication decisions are subject to applicable federal and state laws and the independent professional judgment of the prescribing healthcare provider.
9. No Emergency Services
HELIX HEALTH AND WELLNESS IS NOT AN EMERGENCY MEDICAL SERVICE.
The Services are not intended for medical emergencies.
If you believe you are experiencing a medical emergency, call 911 or your local emergency service immediately, or go to the nearest emergency department.
Do not use website messaging, email, telehealth scheduling, or other Helix communications as a substitute for emergency medical care.
Examples of potentially serious symptoms requiring immediate emergency evaluation may include:
- Chest pain
- Difficulty breathing
- Severe bleeding
- Loss of consciousness
- Severe allergic reaction
- Stroke symptoms
- Severe or sudden neurological symptoms
- Suicidal thoughts or immediate danger

Unless otherwise stated, subscriptions may automatically renew until canceled.
You may cancel recurring services according to the cancellation instructions provided during enrollment or through your account.
Cancellation of a subscription does not necessarily result in a refund of previously paid fees.
14. Refunds and Cancellations
Refund eligibility depends on the specific service purchased and the terms presented to you at the time of purchase.
Unless otherwise expressly stated:
- Fees for completed medical evaluations or healthcare services may be non-refundable;

- Pharmacy charges may be subject to the pharmacy’s own refund policy;
- Third-party laboratory charges may be subject to the laboratory’s refund policy; and
- Promotional offers may have additional terms.
Where applicable law requires a refund, Helix will comply with that requirement.
15. Pharmacies and Third Parties

Third-party services may be subject to their own terms and policies.
Helix does not control the operations of independent third parties and does not guarantee:

Telehealth communications and related health and billing information may be subject to HIPAA protections when handled by a covered entity.
You acknowledge that electronic communications and telehealth technologies involve certain privacy and security risks.
You agree to use reasonable precautions when accessing your health information, including using a private location and maintaining control of your devices and account credentials.

Technical problems may result in:
- Delayed communications;
- Interrupted sessions;
- Failed connections;
- Audio or video problems;
- Inability to complete an evaluation; or

Helix will make reasonable efforts to address technical problems but does not guarantee uninterrupted access to telehealth services.

26. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND NON-CLINICAL PORTIONS OF THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
HELIX DISCLAIMS WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
NOTHING IN THESE TERMS DISCLAIMS OR LIMITS ANY WARRANTY, DUTY, OR LIABILITY THAT CANNOT LAWFULLY BE DISCLAIMED OR LIMITED.
27. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HELIX HEALTH AND WELLNESS AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, TECHNOLOGY PROVIDERS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE WEBSITE OR SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HELIX’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO HELIX FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Nothing in these Terms is intended to limit liability that cannot legally be limited, including liability that applicable law prohibits a healthcare provider from disclaiming.
28. Indemnification
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Helix Health and Wellness and its owners, officers, employees, contractors, affiliates, and service providers from claims, damages, liabilities, losses, costs, and expenses arising from:
